The role of the Company Secretary at NJHPC is a cornerstone of its corporate governance structure. This individual will be the principal advisor to the Board of Directors on all matters of corporate law, compliance, and ethical conduct. Key responsibilities will include the meticulous organization and execution of Board of Directors (BoD) and Annual General Meetings (AGM), ensuring they are conducted in full accordance with Corporate Governance Rules. This involves the expert drafting of notices, resolutions, and the comprehensive preparation of agenda books and working papers for all meetings.
To be considered for this high-level position, candidates must possess a distinguished academic and professional background. The eligibility criteria allow for several pathways: candidates can be a member of a recognized body of Professional Accountants, or a member of a recognized body of Corporate or Chartered Secretaries. Alternatively, individuals holding an MBA, M.Com, or LLB from an HEC-recognized university, coupled with at least five years of relevant, high-level experience, are also eligible to apply.
Beyond the academic qualifications, a substantial track record of professional experience is non-negotiable. The role requires a minimum of ten years of professional experience in the public or private sector. This experience must include deep expertise in a range of specialized areas. The ideal candidate will be thoroughly conversant with Pakistan's Company Laws, Corporate Governance Rules, and other relevant legal frameworks. A critical requirement is being well-versed with the State-Owned Enterprises (SOE) Act, 2023, along with all applicable SECP Rules & Regulations. This demonstrates the company's commitment to adhering to the latest and most stringent governance standards. The maximum age for applicants for this senior role is 50 years.
