Position Details: Company Secretary (EVP / SEVP)

Educational & Professional Qualification:
- Minimum Master’s degree in Business Administration or Commerce, or a Law Graduate from an HEC-recognized university.
- Must be a member of a recognized body of Professional Accountants or Corporate or Chartered Secretaries.
Experience:
- Minimum 22 years of work experience in the Banking/financial sector, multinational, or large-sized organization.
- At least 10 years of experience specifically as a Company Secretary.
- Preference will be given to candidates with experience in Legal, Compliance, Audit, or Corporate Affairs within the financial sector.
Required Skills, Expertise & Knowledge:
- Comprehensive knowledge of Corporate Governance, SBP, PRs, and SECP regulations.
- Strong understanding of the Banking Companies Ordinance and Banks’ Nationalization Act.

Outline of Main Duties & Responsibilities:
- Ensure compliance with the Codes of Corporate Governance and advise the Board on best practices.
- Facilitate Board and Committee meetings, including timely issuance of notices, agendas, and minutes.
- Conduct statutory meetings (AGM/EOGM) and ensure timely recording and dissemination of minutes.
- Ensure execution of Board decisions through diligent follow-ups.
- Manage all regulatory listing and filing requirements with SBP, SECP, and PSX.
- Work in close coordination with all groups for the submission of agendas.
- Deal with corporate matters of the bank’s subsidiaries.
- Maintain profiles of the Board, President & CEO, and ensure the NBP website is updated.

- Employment Type: The position is on a contractual basis for three years, renewable at the discretion of the Management.
